Terms of Service

This document constitutes a legally binding agreement between the user ("User", "Client", "you") and the operators of the Payplus Payment Application for the GHL Marketplace (the "Application", "System", "Service", "we", "us", "our").

By installing, accessing, or using the Application, you confirm that you have read, understood, and agree to be bound by these Terms of Service in their entirety.


1. Service Description

The Application is a technological solution that connects the GHL system with external payment processing services (including Payplus and other payment providers) via API integrations, for the purpose of payment processing, billing operations, financial automations, and transaction management.

The Application is provided strictly on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.


2. User Responsibility & Assumption of Risk

Use of the Application is entirely at the User’s own risk.

The Application does not constitute financial, legal, regulatory, or business advice.

You are solely and exclusively responsible for compliance with all applicable local and international laws, regulations, and requirements, including those related to payments, privacy, data protection, consumer rights, and tax obligations.

You are responsible for the security of your account credentials and any activity conducted through your account.


3. API Integrations and Technological Dependencies

The Service's functionality is inherently dependent on API connections and services provided by third-party payment processors and platforms (e.g., GHL, Payplus).

These third parties regularly update, modify, deprecate, and change their APIs, infrastructures, and terms. Consequently:

System behavior, interfaces, or outputs may change without notice.

Temporary disruptions, bugs, or loss of functionality may occur.

The Application may require updates, which could lead to service interruptions.

You acknowledge and agree that such changes are outside our reasonable control. We strive to maintain compatibility but do not guarantee uninterrupted integration with any third-party service.


4. Service Availability & Uptime

We do not guarantee uninterrupted, secure, or error-free service. The Service may become temporarily unavailable due to, but not limited to:

Scheduled or emergency maintenance.

Updates and upgrades.

Failures or changes by third-party service providers (payment processors, hosting, APIs).

Force majeure events.

Technical faults, overloads, or security breaches.


5. Fees & No Refund Policy

All fees paid for the Service are non-refundable.

This policy applies regardless of the circumstances, including but not limited to:

Your dissatisfaction with the Service.

Service discontinuation or modification by us.

Changes in your business requirements or needs.

Technical issues, incompatibilities, or downtime.

Your business closure or decision to stop using GHL.

Changes in third-party terms or regulatory environments.

Any other reason not directly attributable to a material breach of these Terms by us.

Your use of the Application constitutes your full and unconditional acceptance of this no-refund policy.


6. Intellectual Property Rights

All rights, title, and interest in and to the Application, including but not limited to its source code, databases, software, architecture, design, user interface, logic, features, and all related intellectual property rights, are and shall remain the exclusive property of the Application's developers and licensors.

You are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Application as provided. You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, disassemble, or create derivative works of the Application, or attempt to extract its source code, unless expressly permitted by law or authorized by us in writing.


7. Limitation of Liability & Third-Party Dependencies

To the maximum extent permitted by applicable law:

You expressly acknowledge and agree that the Service's operation is dependent on multiple third-party services, including payment processors, API providers, cloud infrastructure, and hosting services. Accordingly, we, our developers, affiliates, officers, and agents shall have no liability whatsoever for any malfunction, failure, downtime, data loss, revenue loss, or damage arising from or related to:

Actions, inactions, failures, or changes by any third-party service provider.

API modifications, deprecations, or outages.

External infrastructure failures, cyber-attacks, or force majeure events.

Your failure to comply with laws or third-party terms.

Any unauthorized access to your account or data.

In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, goodwill, or reputation, arising from your use or inability to use the Service, even if we have been advised of the possibility of such damages.

Your sole and exclusive remedy for dissatisfaction with the Service is to stop using it.


8. Modifications to the Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date and/or posting a notice within the Application. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

Submission of ideas does not create any obligation for us, and any implemented feature shall remain our sole intellectual property.
